Chapter I General Provisions

Article 4 This branch accepts the business guidance and supervision of the Ministry of Civil Affairs, the General Conference, and the registration and management organs of the local civil affairs departments.

Chapter II Business Scope
Article 6 The business scope of this club:

2. Assist relevant departments to organize drafting and revision of national standards and industry standards of the industry, organize the formulation and revision of recommended standards for the industry, and promote the implementation of standards;

8. Conduct consulting services on environmental protection, safe production, income increase and savings, energy conservation and consumption reduction in the industry, organize exchange of experience, and provide services for enterprises to improve economic efficiency;

Chapter III Members
Article 7 The members of this club are members of the unit.
Article 8 Members applying to join this club must meet the following conditions:
1. Advocate the charter of the club;
2. The willingness to join the club;
3. Enterprises, scientific research institutes, universities and other institutions that have obtained industrial and commercial business licenses according to law;
Fourth, it has a certain economic scale and technical level, and has certain influence in the superhard materials and its products industry;
Article 9 The procedures for membership membership are:
1. Submit an application for membership;
2. Discussion and approval by the Secretariat or a meeting of the higher authorities;
3. After the club reports to the General Conference, the membership certificate will be issued by the General Conference.
Article 10 Members have the following rights:
1. The voting rights, the right to vote and the voting rights of the club;
2. Give priority to participating in various activities organized by the club;
3. Priority and preferential treatment of scientific research achievements and economic and technical materials exchanged and transferred by the club;
4. Obtain priority and preferential access to the information collected by the club and the printed publications;
5. Prioritize and preferentially enjoy the services provided by the club;
6. Suggestions and criticisms for the work of the club;
7. Voluntary membership and freedom of withdrawal.
Article 11 Members fulfill the following obligations:
1. Compliance with the articles of association of this branch, safeguarding the common interests and credibility of the industry, and implementing relevant resolutions of this branch;
2. Actively participate in the activities organized by the club and earnestly complete the work entrusted by the club;
3. Provide the branch with timely information on the basic conditions of production, technology, operation and management of the unit, scientific research results, product catalogues and economic and technical materials available for exchange and transfer;
4. Pay the dues on time according to the regulations. If you do not pay the membership fees for one year or do not participate in the activities of the club, it is deemed to be automatically withdrawn.
Article 12 The member shall withdraw from the meeting and notify the branch in writing and return the membership card.
Article 13: Members who have committed serious violations of the Articles of Association shall be removed by the vote of the board of directors or the higher authorities.

Chapter IV Organization and Responsible Persons Generate and Dismiss
Article 14 The highest authority of this chapter is the member representative assembly. The functions of the member representative assembly are:
1. Formulating and amending the articles of association;
2. Election and removal of directors;
3. Review the work report and financial report of the Council;
Fourth, decide to terminate the matter;
5. Formulating the payment rules for membership fees;
6. Decide on other major issues.
Article 15 A member representative assembly must be attended by more than 2/3 of the members' representatives, and its resolutions must be approved by more than half of the delegates.
Article 16 The member representative assembly shall be held for 4 years (maximum of 5 years). If it is necessary to advance or postpone the change due to special circumstances, it shall be approved by the board of directors and approved by the General Assembly. Article 17 The board of directors is the executive body of the member representative assembly. It leads the branch to carry out daily work during the period when the member representative assembly is not in session, and is responsible to the member representative assembly.
Article 18: The powers of the Council:

Article 19 The board of directors must have more than 2/3 of the directors to attend, and its resolutions must be approved by more than half of the members of the board of directors.
Article 20 The Council shall meet at least once a year; in special cases, it may also be convened by means of communication.
Article 21 This branch shall establish a standing council. The Standing Council is elected by the Board of Directors and exercises the powers of Article 18 during the intersessional period of the Board of Directors and is accountable to the Board of Directors (the number of standing directors does not exceed 1/2 of the number of directors).
Article 22 The Standing Council shall have more than 2/3 of the standing directors to attend, and its resolutions shall be valid only after more than half of the standing directors have passed the voting.
Article 23 The Standing Council shall meet at least once a year, and special circumstances may also be convened by means of communication.
Article 24 The branch shall establish a chairman meeting, which shall be composed of the branch, the vice chairman and the secretary general. It shall be the superior leadership of the board of directors and the standing council. Article 25 The chairman, deputy chairman and secretary-general of the club must meet the following conditions:

Article 27 The chairman, deputy chairman and secretary-general of the branch shall be elected for a term of four years and may be re-elected.
Article 28 The chairman of the branch exercises leadership over the work of the club and is the highest leader of the club.
Article 29 The chairman of the club shall exercise the following powers:
1. Convene and preside over the meetings of the Board of Directors, the Standing Council and the Board of Directors;
2. Examine the implementation of the resolutions of the members' congress, the council, the standing council and the chairman's meeting;
3. Sign the relevant important documents on behalf of the club.
Article 30 The Secretary-General of this Chapter is the person in charge of the daily work of the Branch. The Secretary-General exercises the following powers:
1. Resolutions of the Executive Council, the Standing Council and the Board of Directors;
2. Reporting work to the Council, the Standing Council and the Board of Directors;
3. To preside over the daily work of the office, sign the daily working documents on behalf of the club, and organize the implementation of the annual work plan;
4. Coordinating the work of various branches, representative offices, and entities;
5. To nominate the Deputy Secretary-General and the principals of the offices, branches, representative offices and entities, and submit them to the Council, the Standing Council or the Board of Directors for decision;
6. Deciding the appointment of full-time staff of the office, representative office or entity;

Chapter V Asset Management and Usage Principles
Article 31 Sources of funds for this club:

Article 33 The funds of this branch must be used for the business scope and career development as stipulated in the Articles of Association, and shall not be distributed among the members.
Article 34 This Chapter establishes a strict financial management system to ensure that accounting materials are legal, authentic, accurate and complete.
Article 35 This branch is staffed with accountants with professional qualifications. Accounting should not act as cashier. Accounting personnel must conduct accounting and implement accounting supervision. When the accountant transfers the job or leaves the company, he must clear the handover procedures with the receiver.
Article 36 The asset management of this branch must implement the supervision of the financial department prescribed by the state. Where the source of assets belongs to state funds or social donations or subsidies, it must be supervised by the auditing agency and the relevant information should be disclosed to the public in an appropriate manner.
Article 37 The financial audit of the general organization or the local audit department must be accepted before the branch is changed or replaced.
Article 38 The assets of this branch shall not be misappropriated, privately divided or misappropriated by any unit or individual.
Article 39 The wages, insurance and welfare benefits of the full-time staff of the branch shall be implemented in accordance with the relevant provisions of the State on institutions.

Chapter VI Modification Procedures of the Articles of Association
Article 40 The amendments to the articles of association of the branch shall be reviewed and approved by the board of directors or the member representative assembly.
Article 41 The articles of association modified by this Chapter shall be effective upon examination and approval by the General Conference.

Chapter VII Termination Procedures and Property Treatment after Termination
Article 42 If the branch completes its purpose or disbands itself or needs to cancel due to reasons such as separation or merger, the board of directors or a meeting of the higher authorities shall propose a termination motion.
Article 43 The termination motion of this branch shall be approved by the member representative assembly and reported to the General Conference for review and approval.
Article 44 Before the termination of this sub-committee, a liquidation organization shall be established under the guidance of the General Conference and relevant organs to clear creditor's rights and debts and deal with the aftermath. During the liquidation, not to carry out activities other than liquidation.
Article 45 This branch shall be terminated after it has been reported to the Ministry of Civil Affairs for cancellation of registration procedures.
Article 46 The remaining property after the termination of this branch shall be used for the development of undertakings related to the purposes of the club in accordance with the relevant provisions of the State under the supervision of the General Conference.

Chapter VIII Supplementary Provisions
Article 47 The Articles of Association shall be considered and approved by the Third Congress of Members.
Article 48 The Articles of Association shall be interpreted by the branch secretariat.
Article 49 The Articles of Association shall come into force on the date of approval by the General Conference.
